Terms of Service
Product policy draft — counsel for the selling legal entity should review it before production billing goes live.
1. Service
NexaFile AI is a document-intelligence platform for extraction, summaries, flags, workflows and reports. AI assists; customers must verify outputs before financial, legal, HR, tax or operational decisions.
2. Accounts & authorized users
Customers are responsible for account security, member administration and submitting only data they are authorized to process. Abuse, automated scraping, limit circumvention or unauthorized access may be blocked.
3. Plans, quotas & billing
Plans are sold per company with user, monthly-document and storage quotas. Monthly and annual plans have their own service periods. Enterprise/Custom uses contracted quotas and pricing; “unlimited” means the limits/fair-use terms in the order form, not infinite resources.
4. Renewal, expiry & access
Production may auto-renew through the payment provider or require the next payment depending on method. When a service period expires unpaid, a workspace may become read-only/suspended after a disclosed grace period. Data is not immediately deleted solely because payment is late.
5. Taxes, invoices & refunds
Taxes, invoices/receipts and seller information depend on the production legal entity and payment provider. Local/demo receipts are not tax invoices. Refund/cancellation terms must be shown at checkout before charging.
6. Data ownership & service license
Customers retain rights in their data and grant the limited rights necessary for NexaFile to store, process and transmit it to provide the service. NexaFile software, branding and product materials remain with their respective owner.
7. Availability, changes & liability
SLA, support, liability caps, indemnities and governing law for production customers should be defined in the order form/MSA appropriate to the selling entity and served jurisdictions.
