Terms of Service
Effective September 19, 2026.
1. Service
NexaFile AI is a document-intelligence platform for extraction, summaries, flags, workflows and reports. AI assists; customers must verify outputs before financial, legal, HR, tax or operational decisions.
2. Accounts & authorized users
Customers are responsible for account security, member administration and submitting only data they are authorized to process. Abuse, automated scraping, limit circumvention or unauthorized access may be blocked.
3. Plans, AI Credits & billing
Plans are provided per workspace: Starter supports up to 10 members, Business up to 50 and Scale up to 100. Document, page and storage limits plus AI Credits are shared by the workspace. Standard paid plans currently allow up to 200 pages/document and 10 files/batch. NexaFile processes all accepted pages or rejects the document clearly before provider use; it does not silently truncate pages. AI Credits are the workspace's shared AI processing balance: simple documents use fewer credits while large, scanned, image-heavy or complex documents use more. The service checks remaining allowance before sending content to the AI provider. Buying more AI Credits adds AI processing capacity only within the current period; it does not add members, reset storage or extend the period. Enterprise/Custom follows its order form.
4. Renewal, expiry & access
Starter, Business and Scale are currently one-time payments for each 30-day period and do not renew automatically. A new payment is required to continue processing after the period ends. If a future checkout or order form offers automatic renewal, it applies only when clearly disclosed and accepted by the customer. An expired unpaid workspace may become read-only/suspended after the disclosed grace period; data is not deleted immediately solely because payment is late.
5. Taxes, invoices & refunds
Taxes, invoices or receipts and seller information depend on the payment method and applicable jurisdiction. Refund and cancellation conditions are published in the Refund Policy and during checkout where applicable.
6. Data ownership & service license
Customers retain rights in their data and grant the limited rights necessary for NexaFile to store, process and transmit it to provide the service. NexaFile software, branding and product materials remain with their respective owner.
7. Availability, changes & liability
Additional SLA, support, liability, indemnity and commercial terms may be defined in an order form or separate agreement with business customers where applicable.
8. Acceptable use
You may upload, connect and process only data you are authorized to use. Do not use the service to access others’ data without permission, distribute malware, send spam, infringe privacy or intellectual property rights, or bypass quotas or security controls. Contact support to report abuse or infringing content. NexaFile may restrict access when needed to prevent harm or meet legal obligations; specific rights and duties remain subject to the agreement and applicable law.
9. Direct account or workspace deletion
Owners may directly delete their entire workspace; Members may directly delete only their own accounts. After all confirmations are completed and Delete now is clicked, the system executes deletion in the displayed scope without NexaFile approval. Users are responsible for exporting required data and reviewing member, billing, and provider-renewal impact before deletion. Erased live data cannot be restored. Your acknowledgment does not waive NexaFile's mandatory legal obligations.
10. Agreement precedence
If a business customer has a separately signed order form, DPA or SLA, that document controls its specific subject matter and these Terms continue for the remainder.
11. Suspension and termination
Access may be restricted to prevent unauthorized access, abuse, security risk, legal violations or non-payment.
12. AI outputs and professional reliance
AI outputs may be incomplete or incorrect and do not replace legal, financial, tax, medical or other professional advice. Users must verify evidence and source documents.
13. Mandatory law and global availability
The service may be accessible from multiple countries, but this does not mean every feature, payment method or commercial term is offered everywhere. Users are responsible for applicable export, sanctions and local-law compliance; nothing in these Terms removes mandatory rights that cannot lawfully be waived.
